Terms.

These terms are the agreement between you and Palvo ("Palvo", "we", "us") when you use our financial dashboard, reporting, and automation services (the "Service"). By using the Service or connecting an account to it, you agree to these terms. If you don't agree, please don't use the Service.

1. What Palvo provides

Palvo provides financial dashboards, reporting, and admin automation for small and medium businesses. The Service reads your accounting data and presents it back to you as dashboards and reports. The exact scope of what we deliver is what we agree with you in your engagement or order.

2. Eligibility and your account

You must be authorized to act for the business whose data you connect. You're responsible for keeping your access credentials secure and for the activity that happens under your account.

3. Connecting QuickBooks (read-only)

If you connect QuickBooks Online, you authorize Palvo — through Intuit's official, secure connection — to read your accounting data so we can build your dashboards and reports. This access is read-only: Palvo never creates, edits, deletes, or moves anything in your QuickBooks. You can disconnect Palvo's access at any time (see Section 7 and our Privacy Policy).

4. Acceptable use

Don't use the Service to break the law, infringe someone's rights, attempt to gain unauthorized access to our systems, or interfere with the Service's operation. Don't connect data you aren't allowed to share with us.

5. Fees

Fees for the Service are as set out in your order, engagement, or booking. Unless stated otherwise, fees are non-refundable once the related work has been performed.

6. Your data and privacy

How we handle the data you connect — including your QuickBooks/accounting data — is described in our Privacy Policy, which forms part of these terms. You keep ownership of your data; you grant us only the access needed to provide the Service.

7. Termination and disconnection

You can stop using the Service and disconnect any connected account at any time. We can suspend or end the Service if these terms are breached or if we stop offering it. On termination, we stop accessing your connected accounts and delete or return your stored data in line with our Privacy Policy.

8. Third-party services

The Service relies on third parties such as Intuit (QuickBooks) and our hosting and database providers. We're not responsible for those services' own availability, changes, or actions. Your use of QuickBooks remains subject to Intuit's own terms.

9. Not financial, accounting, or tax advice

The Service presents and organizes your own financial information. It does not constitute financial, accounting, investment, legal, or tax advice, and it is not a substitute for your accountant or a professional advisor. Decisions you make based on the Service are your own.

10. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, to the fullest extent permitted by law. We work hard to keep figures accurate and the Service reliable, but we don't warrant that it will be uninterrupted or error-free.

11. Limitation of liability

To the fullest extent permitted by law, Palvo will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or lost data. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the three months before the claim.

12. Changes to these terms

We may update these terms from time to time. If we make a material change, we'll update the date above and, where appropriate, let you know. Continuing to use the Service after a change means you accept the updated terms.

13. Governing law

These terms are governed by the laws of the Province of British Columbia, Canada, and the federal laws of Canada that apply there, without regard to conflict-of-laws rules.
